Who you're contracting with

Quote Stack is the trading name under which this service is operated. Where these terms say "we", "us", or "Quote Stack", that means the operator of Quote Stack. By creating an account or using the service, you agree to these terms.

The full registered legal identity of the operator is available on request: email quotestack@outlook.com. We're in discussion about registering with the Information Commissioner's Office (ICO); we'll complete that registration before we move beyond the current beta to a general commercial launch, and our registration will list the registered legal identity on the public ICO register once it's done.

What Quote Stack is, and what it is not

Quote Stack is a software tool. When you submit a materials request, we draft and send a request for quote (RFQ) email to building merchants and suppliers who are likely to stock what you need, collect their replies, and present the quotes to you side by side so you can compare and choose.

The contract for any goods you order is strictly between you (or your business) and the supplier you choose to order from. Disputes about price, quality, delivery, or anything else about the goods themselves are between you and that supplier, not us.

Who can use Quote Stack

Quote Stack is for business and trade use only. It is a business-to-business (B2B) service for contractors and tradespeople sourcing materials for a job, not a consumer service. You confirm that you are:

• using Quote Stack in the course of a trade, business, craft, or profession, not as a private individual buying for personal use;
• at least 18 years old;
• authorised to act for the business or account you're representing, if you're signing up on behalf of a company or employer.

We may ask for reasonable evidence of trade status and may decline or close an account that doesn't meet this.

Your account

Keep your account details accurate, particularly the business information used on RFQs and purchase orders sent in your name. You're responsible for keeping your login credentials secure and for activity that happens under your account. Tell us straight away if you think your account has been compromised.

Acceptable use

You agree not to use Quote Stack to:

• submit requests you don't genuinely intend to follow up, purely to harvest supplier pricing or contact data;
• send abusive, threatening, or harassing content to a supplier through the platform;
• attempt to contact a supplier who is on our suppression list, or otherwise circumvent an opt-out;
• request materials for an unlawful purpose, or submit false information about a job or business;
• attempt to interfere with, reverse engineer, or overload the platform or its infrastructure.

We may suspend or close an account that breaches this clause. See clause 11.

Sending RFQs and purchase orders on your behalf

When you submit a materials request, you authorise Quote Stack to draft and send RFQ emails, and any follow-up or chase-up emails, to matched suppliers on your behalf, using the job and material details you provided. You are solely responsible for the accuracy and completeness of what you ask us to request. We are not responsible for a supplier misquoting, or for a purchase decision you make, because of incorrect or incomplete information you gave us.

When you accept a quote and instruct us to place an order, you authorise Quote Stack to send a purchase order to the winning supplier(s) on your behalf. A purchase order sent this way is treated exactly as if you had sent it yourself: it is a commitment made by you, to the supplier, and it is binding on you, not on Quote Stack. You are responsible for reviewing a purchase order before it's sent, where the platform gives you the chance to do so, and for the consequences of instructing us to send it.

Quote Stack does not check whether the materials, quantities, or specifications you request are correct, sufficient, compliant with building regulations, or suitable for your project. That's your responsibility, or your professional advisor's, not ours.

Quotes, pricing, and the split-order recommendation

Every price, lead time, and delivery cost shown on Quote Stack comes directly from a third-party supplier's reply. We extract and structure that information, including with the help of automated tools, but we do not independently verify it. A "best value" flag or a split-order suggestion is an informational calculation based on the quotes received, not advice, and not a guarantee that it's the best outcome available to you.

We take no commission or mark-up on any quote or order. Our revenue comes from subscription fees, not from what you pay a supplier.

Pricing and billing

Quote Stack is currently in beta. Card payment is required for both published tiers, Solo and Business: Solo includes a 7-day free trial before any charge and converts automatically to a paid subscription unless you cancel first; Business has no trial and is charged from the moment you sign up. Prices shown on the site are exclusive of VAT — Quote Stack is not currently VAT-registered, so no VAT is added to what you're charged.

You can cancel a subscription at any time (see clause 11). If we change published pricing, we'll give existing account holders reasonable advance notice before any new price applies to them.

Liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded under English law.

Subject to that, and to the fullest extent permitted by law: Quote Stack's total liability to you arising out of or in connection with your use of the service, whether in contract, tort (including negligence), or otherwise, is limited to the total fees you have paid us in the 12 months before the claim arose, or 100 pounds if you have paid us nothing (for example, during a free trial), whichever is greater.

We are not liable for indirect or consequential loss, including loss of profit, loss of business, loss of contracts, or business interruption, even if we were told such loss was possible.

Because Quote Stack is a sourcing and comparison tool and not a party to any supply contract, we are not liable for a supplier's failure to deliver, a defect in goods supplied, an inaccurate quote, or any dispute between you and a supplier. Your recourse for those issues is against the supplier directly.

Your responsibility, our indemnity

You agree to indemnify us against any claim, loss, or cost we reasonably incur as a result of inaccurate information you submit, your breach of clause 05 (acceptable use), or your misuse of the RFQ and purchase order authorisation in clause 06.

Suspension and termination

You can stop using Quote Stack and close your account at any time. We may suspend or close an account that breaches these terms, misuses the service, or falls behind on payment, giving notice where reasonably practicable.

On closure, your data is handled as described in our privacy policy, including records we're required to keep for tax and accounting purposes.

Changes to the service and these terms

Quote Stack is in beta and will change as we build it out. We may add, change, or remove features at any time. If we make a material change to these terms, we'll give account holders reasonable notice before it takes effect.

General

These terms, together with our privacy policy, are the entire agreement between you and Quote Stack regarding the service. If any part of these terms is found unenforceable, the rest continues to apply. If we don't enforce a term on one occasion, that doesn't stop us relying on it later.

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them or your use of Quote Stack.
